格隆汇1月21日丨中国智能科技(00464.HK)发布公告，2025年1月20日，公司(作为发行人)与联席配售代理(即瑞森港通证券与亚太证券)订立配售协议，据此，联席配售代理(按个别基准)已有条件同意按尽力基准以配售价0.225港元配售最多4600万股配售股份，并将收取相当于所配售配售股份总配售价3%的配售佣金。
配售股份将根据于股东周年大会上授予董事的一般授权予以配发及发行。配售事项项下4600万股配售股份相当于本公告日期现有已发行股本约7.76%，及经悉数配发及发行配售股份扩大后已发行股本约7.20%。每股配售股份的配售价0.225港元较股份于配售协议日期在联交所所报的每股收市价0.28港元折让约19.64%。
配售事项的所得款项总额将为1035万港元。配售事项的所得款项净额(扣除配售事项的其他开支后)将约为1000万港元。公司计划将所得款项净额用作集团的一般营运资金。
