智通财经APP讯，新质数字(02322)发布公告，配售协议(经日期为2024年12月31日的补充配售协议修订及补充)项下的条件未能于最后截止日期或之前达成。尽管本公司与配售代理就建议进一步延长最后截止日期进行多次磋商，但截至本公布日期，订约各方仍未达成共识。
因此，于2025年1月22日(联交所交易时段后)，本公司与各配售代理订立终止契据(契据)，本公司及配售代理各自不可撤销及无条件同意并承诺，自契据签立起，配售协议(经补充配售协议修订及补充)将立即终止及不再具有效力，且订约各方均不得就配售协议向对方提出任何索偿。本公司及配售代理各自亦据此不可撤销及无条件完全解除及免除对方于配售协议项下所有过往、现时及未来的责任、义务及法律责任，尽管配售协议的任何条款另有规定。
董事会认为，终止配售协议对本集团的业务营运及财务状况并无重大不利影响。本公司可能会在计及本集团未来发展及市场情绪后考虑进行其他集资活动。本公司将适时根据上市规则的规定刊发公布向市场提供最新资料。
