智通财经APP讯，51信用卡(02051)发布公告，于2025年1月24日，公司与51RENPIN、买方A启辰高科技管理咨询有限公司及买方B山东启辰中科投资控股有限公司订立股份买卖协议，卖方有条件同意出售，而买方有条件同意收购13.59亿股中彩网通股份，占中彩网通于本公告日期已发行股本总额约29.00%，总代价为2175万港元。
于2025年1月24日，51RENPIN与配售代理订立配售协议，51RENPIN同意透过配售代理按配售价向配售代理以尽力基准取得的承配人配售最多4.76亿股配售股份，占本公告日期中彩网通已发行股本总额的约10.16%。
每股配售股份的最低配售价为0.014港元，较中彩网通于2025年1月24日在联交所所报的收市价每股0.016港元的折让约12.50%。
假设所有4.76亿股配售股份按配售价0.014港元(配售价范围最低价格)已获配售，所得款项净额(经扣除配售佣金、专业费用及其他配售事项开支)将约为630万港元。
中彩网通为公司的附属公司。于本公告日期，公司间接持有中彩网通约39.16%的已发行股本总额。于股份买卖协议完成及配售事项完成后，假设配售代理成功配售全部4.76亿股配售股份，公司将不再直接或间接持有中彩网通的任何权益。因此，中彩网通将不再为公司的附属公司，而中彩网通的财务业绩将不会再并入集团的财务报表。
