财中社1月27日电万咖壹联（01762）发布公告，董事会宣布于2025年1月26日与合营伙伴签订注资协议。根据该协议，合营伙伴同意以现金注资4900万元（相当于约5292万港元），以认购合营公司49%的股权。注资完成后，合营公司将由欢聚时代和合营伙伴分别拥有51%和49%的权益，继续被视为公司的附属公司，其财务业绩将纳入公司的财务报表。
注资的完成需满足若干先决条件，包括合营公司及其现有股东需提供真实、完整的资料，合营伙伴需取得所有必要的内部及外部批准。此次注资将使合营公司的注册资本从5100万元增至1亿元（相当于约1.08亿港元），并将用于进一步发展合营公司的移动广告服务及智能AI营销服务。董事会认为此次注资协议符合公司的战略发展，能够为公司带来进一步的成长机会。
