融科控股(02323.HK) 公布，已成立特别调查委员会，自今年1月24日起生效。特别调查委员会成员包括全体独立非执行董事，其中刘斐担任主席，而麦国基及徐鑫炜则作为成员，彼等皆独立于有关调查之标的事宜。特别调查委员会获赋予权力就有关调查取得任何相关独立专业人士的协助。
公告指，特别调查委员会将予进行有关调查范围包括，深圳市华榕德贸易作为贷款人根据贷款协议，以及其抵押品及担保向韶关港桥企业管理咨询服务作为借款人，预垫1.7亿元人民币贷款融资之背景及真实性；以及批准贷款的董事之责任及角色。
根据对现有文件进行的初步审查，执行董事卓可风被怀疑涉及贷款。因此，经审慎考虑目前情况并考虑到卓可风涉嫌参与，为缓解股东及公众疑虑，于今年1月24日，董事会已议决暂停卓可风的执行董事职务、职能及职责，即时生效，直至取得有关调查之结果后另行通知。
应融科控股要求，股份已自今年1月20日起于联交所停牌，并将继续暂停买卖，以待刊发载有公司内幕消息之公告。(js/w)
