　　锦兴国际控股（02307）发布公告，于2025年1月27日，买方（公司间接全资附属公司锦丰（香港）制衣有限公司）、该等卖方及目标公司（Korea Textile & Dyeing Support Joint Stock Company）订立买卖协议，据此：（i）该等卖方有条件同意出售，而买方有条件同意以现金代价434.8万美元购买待售股份（为目标公司全部已发行及缴足股份）；及（ii）买方同意结清640.76万美元的债务。

　　目标公司主要从事纺织制品生产业务。其资产包括一块位于仁泽六工业区的地块，总建筑面积为27，253平方米，其包括一间染厂和两间织厂。

　　目标公司是一间完善的生产及贸易公司，在越南拥有现有生产基地，配备即时可得的资源，包括工厂设施、机器和劳动力。如公司先前公布所披露，现有可用的生产基地可即时提升集团纺织生产的产能，而毋须作大量资金投入。
