财中社2月6日电朗华国际集团（08026）发布公告，针对收购目标公司已发行股本的51%进行澄清及补充。根据公告，收购代价为536万港元，支付方式为按发行价向卖家配发新股份，初始发行价为每股0.348港元，最高可发行1540万股新股份。公告中指出，第一阶段的代价股份数目为437万股，第二阶段和第三阶段均为551万股，均不得超过上述股份数。
公告中提到的目标公司为香港乐图控股有限公司，估值师通过评估其财务资料，预计未来几年的营业收入和成本。根据预测，2024年10月至12月的营业收入为60万元，营业成本为11万元，净利润为45万元。到2029年，营业收入将稳定在211万元，净利润为98万元。此外，估值报告中还指出，目标公司的企业价值为969万元，51%股权价值为494万元。
