联合能源集团子公司拟收购AIEHI全部股本 交易额1.5亿美元
财中社2月8日电联合能源集团（00467）发布公告，宣布其全资子公司United Energy (MENA) Limited已与Apex International Energy L.P.及其担保方Kuwait Energy Plc签署股份买卖协议，计划收购目标公司AIEHI的全部已发行股本。此次收购的购买价格为1.5亿美元（约合11.7亿港元），该金额可能会根据已知的漏损事项和股东出资情况进行调整。此外，作为额外对价，买方还需支付700万美元（约5460万港元）的递延付款。
此次收购的完成需满足一系列先决条件，包括获得埃及政府及EGPC的书面同意，解除相关担保，以及反垄断审查的批准。若先决条件未能满足，买方或卖方均有权终止股份买卖协议。收购完成后，AIEHI将成为公司的间接全资子公司，其财务报表将与本集团合并。
公告中提到，AIEHI在埃及拥有8个陆上特许开采权，预计到2024年，其平均日产量将超过11000桶。此次收购将增强公司的资产组合，并为埃及经济增长做出贡献。根据Apex的合并财务报表，截至2022年和2023年，其净资产值分别约为7915万美元和1.09亿美元，预计2024年未审计的净资产值将达到1.6亿美元。
