智通财经APP讯，第四范式(06682)发布公告，于2025年2月7日(联交所交易时段前)，公司与配售代理订立配售协议，据此，配售代理已有条件及个别同意(作为公司的配售代理)尽力促使不少于六名承配人，认购最多2792万股配售股份，每股配售股份的配售价为50.20港元。每股配售股份的配售价较H股于2025年2月6日联交所所报的收市价每股56.80港元折让约11.62%。
假设已发行股份数目于自本公告日期起至配售事项完成日期止期间并无任何变动，则配售事项项下的配售股份将相当于于本公告日期已发行H股数目约10.46%及已发行股份数目约5.99%;及经配发及发行配售股份所扩大的已发行H股数目约9.47%及已发行股份数目约5.65%。将予配发及发行的配售股份的面值总额将为人民币2792万元。
待配售事项完成后，假设配售股份悉数获成功配售，预期配售事项的所得款项总额及所得款项净额(扣除配售佣金及配售事项的其他相关成本及开支后)将分别约为14.02亿港元及13.94亿港元。按该基准计算，配售股份的净配售价将约为每股49.93港元。
