赛伯乐(01020.HK) 公布，其直接全资附属Cybernaut Technology Development以代价1.21亿元，向CIPRUN购买目标公司Newsbaba 100%已股行股份。当中，交易代价将透过公司发行12.05亿股支付，每股初始代价股份为0.1元，较上周五(7日)收市价0.087元溢价约14.9%。
紧随配发及发行初始代价股份后，卖方将拥有公司22.8%股权。若计及业绩目标付款安排代价股份，持股将进一步增至28.2%。
目标公司凭借目标外商独资企业与中国经营公司及经营公司注册股东签订的可变利益实体协议，可享有中国经营公司北京牛思巴巴知识产权代理的经济利益，并可控制中国经营公司的董事会及股东投票权。中国经营公司持有持牌及主要透过其网站经营业务，涉及持牌所涵盖的专利代理服务；商标及版权代理服务，包括商标及/或版权申请筹备、备案、知识产权管理及维护；其他知识产权相关服务。
集团认为，收购事项将为其带来重大策略优势，尤其是在集团电子商务业务迅速发展的数码版图下，可提升其整体产品/服务供应。透过整合中国经营公司在知识产权方面的专业知识，集团可更好支持其现有及/或潜在客户应对复杂的知识产权管理，从而为集团的客户创造额外价值，并有望扩大客户基础。(jl/u)(港股报价延迟最少十五分钟。)
