智通财经APP讯，新时达(002527.SZ)发布公告，截至目前，公司控股股东为纪德法先生，实际控制人为纪德法先生、刘丽萍女士、纪翌女士，如纪德法、刘丽萍、纪翌向青岛海尔卡奥斯工业智能有限公司(以下简称“海尔卡奥斯工业智能”)协议转让股份实施完成，且纪德法、刘丽萍、纪翌将其持有的协议转让后剩余股份对应的表决权委托海尔卡奥斯工业智能行使、海尔卡奥斯工业智能与纪德法、刘丽萍、纪翌一致行动，公司控股股东将变更为海尔卡奥斯工业智能，公司实际控制人将变更为海尔集团公司。
通过本次协议转让、本次表决权委托及本次一致行动安排，海尔卡奥斯工业智能将取得上市公司6630.61万股股份(占上市公司总股本的10.00%)及1.276亿股股份(占上市公司总股本的19.24%)所对应的表决权，合计控制上市公司1.94亿股股份(占上市公司总股本的29.24%)所对应的表决权。
同时，为进一步巩固控制权，公司拟筹划向特定对象发行股票，海尔卡奥斯工业智能拟以现金方式全额认购公司向特定对象发行的新股。本次发行完成后，在不考虑其他因素可能导致股本数量变动的情况下，按照拟发行股数计算，海尔卡奥斯工业智能将直接持有上市公司2.19亿股股份(占上市公司发行后总股本的26.83%)。
经公司向深圳证券交易所申请，公司股票自2025年2月17日(星期一)开市起复牌交易。
