智通财经APP讯，京投交通科技(01522)发布公告，于2025年2月13日(交易时段后)，本集团于北京产权交易所公开挂牌出售地铁科技的49%股权。
本公司为国有控股上市公司，根据有关国有股权处置的中国法律法规规定，本公司持有的国有资产应当在根据适用中国法律法规设立的产权交易所公开进行处置。
根据相关中国法律及法规，潜在出售事项拟在北京产权交易所以公开挂牌的方式进行，而成功摘牌方(作为受让方)其后须根据北京产权交易所的规定与城轨投资(作为出让方)订立股权转让协议。
自地铁科技成立以来，本集团从地铁科技的投资中持续获得了投资回报。然而，近年来，本集团持续强化聚焦主业的战略布局，地铁科技主营业务成长潜力有限，无法为本集团战略发展提供更多支撑;同时，地铁科技近年业绩有所波动，倘潜在出售事项落实，本集团将可锁定投资收益。因此，由于地铁科技未来业务成长潜力不确定，且与本集团战略协同作用不明显;及为了规避进一步的业绩波动，锁定投资收益，董事会认为，潜在出售事项倘落实，将不会为本集团的业务及财务表现带来任何不利影响。
此外，为确保本集团业务在潜在出售事项后不受地铁科技业务的影响，地铁科技承诺未来将不参与自动售检票和乘客信息系统的相关业务。
