2月17日，五矿资源（01208）发布公告，宣布公司全资附属公司MMG Dugald River Pty Ltd与Minmetals North-Europe签署了Dugald River锌精矿销售协议。该协议涵盖2025年至2027年间的锌精矿销售，年销售数量约为10万至12万干公吨，卖方MMG Dugald River Pty Ltd可选择增加或减少10%。销售价格将根据锌的市场价格及处理费用进行公平磋商后确定。
根据公告，Minmetals North-Europe作为公司控股股东中国五矿的间接全资附属公司，构成持续关联交易。此次交易的最高年度金额为2亿美元，约合15.6亿港元。由于该交易的年度最高交易价值相关百分比率高于0.1%但低于5%，因此遵循上市规则第14A.76条的申报和公告规定，且获得豁免独立股东批准的要求。公告中提到的交易将为本公司的股东带来整体利益。
