智通财经APP讯，谭仔国际(02217)及要约人东利多控股有限公司联合公布，于2025年2月3日(交易时段后)，要约人要求董事会向计划股东提呈建议，透过计划(即公司条例第673条项下的计划安排)将该公司私有化。公司已向联交所申请自2025年2月18日上午九时正起恢复股份买卖。
于计划生效后，所有计划股份将被注销及剔除，而计划股份的股票其后将不再具有所有权凭证的效力。根据计划，注销价将为每股计划股份1.58港元，较股份于最后交易日在联交所所报的收市价每股0.900港元溢价约75.56%。
据悉，要约人主要从事连锁餐厅管理及营运业务。于本公告日期，要约人为Toridoll日本的直接全资附属公司，并直接于10亿股股份(占已发行股份约74.26%)中拥有权益。Toridoll日本为于日本注册成立的有限公司，其股份于日本东京证券交易所上市(股份代号：3397)。Toridoll日本连同其附属公司为知名多品牌餐厅集团，并经营全球最大乌冬连锁店“丸亀制面”。
