智通财经APP讯，新鸿基公司(00086)发布公告，于2025年2月20日，本公司订立具法律约束力的条款书，本公司同意认购Pantheon将发行的3000万美元(相当于约2.33亿港元)并于2028年3月到期的优先可换股债券(可换股债券)。
据Pantheon的告知及确认，Pantheon是一间在另类投资市场(AIM)报价及公开买卖的石油和天然气勘探公司，拥有毗邻阿拉斯加北坡(AlaskaNorthSlope)运输与管道基础设施的若干项目的100%经营权益。
本公司致力于扩展其另类投资及基金管理平台，并认为对Pantheon的投资具有战略契合性。该交易透过固定现金票面息及债券优先等级提供了下行保障，同时亦可透过转换权分享股本增值潜力。
