智通财经APP讯，四川能投发展(01713)发布公告，于本公告日期，公司接获能源投资集团通知，指四川能源发展集团已于2025年2月25日办理完成注册成立登记手续，且于2025年2月27日，四川能源发展集团、四川省投资集团及能源投资集团就四川能源发展集团、四川省投资集团及能源投资集团的资产继承交割订立协议。
根据该协议，合并协议的交割条件已经达成，该协议的签署日(即2025年2月27日)为交割日期。自交割日期起，能源投资集团及四川省投资集团的所有资产、负债、业务、雇员、合同及资质连同其他所有权利及义务由四川能源发展集团承继、承担或享有;能源投资集团及四川省投资集团持有的下属分公司及下属公司的股权或其他权益归于四川能源发展集团。自交割日期起，能源投资集团及四川省投资集团尚需履行的所有未偿还债务、义务及责任由四川能源发展集团承担。
重组完成后，公司的控股股东将由能源投资集团变更为四川能源发展集团，然而，四川省政府国资委仍为公司的最终实际控制人。目前，集团生产经营情况保持正常，且公司将根据重组进展情况，按照上市规则及适用法律法规的要求及时进行资料披露。
