智通财经APP讯，朗廷-SS(01270)发布公告，截至2024年12月31日止年度应付予酒店管理人的管理人费用总额约为6230万港元，其中已就2024年上半年支付约2956.3万港元。受股份合订单位发行上限所规限，董事会公布，截至2024年12月31日止6个月期间应付予酒店管理人的管理人费用，将部分以现金款项约598.6万港元之方式，及部分按特别授权及受限于递延机制以每股份合订单位0.470港元发行5691.54万个新股份合订单位之方式支付。
现金支付之管理人费用将会于2025年2月28日支付。而2024年下半年管理人费用股份合订单位将会分批结算以遵守上市规则中公众持股量的规定。为遵守上市规则中公众持股量的规定，于付款到期日，仅配发及发行1059.45万个股份合订单位予LHIL Assets。
根据公开可得的资料及据董事会所知，紧随发行第一批股份合订单位后，进一步向LHIL Assets配发及发行股份合订单位将违反上市规则中公众持股量的规定。因此，根据补充协议会触发递延机制，配发及发行余下4632.09万个股份合订单位(即约2177.1万港元)会视为已于付款到期日完成，而递延股份合订单位须于付款到期日起三年内的任何营业日，一次性或分批配发及发行，惟于配发及发行该等股份合订单位之相关日期须满足公众持股量要求。
