中旭未来间接全资附属签署合作备忘录
2月27日，中旭未来（09890）发布公告，宣布其间接全资附属公司香港远达未来有限公司与恺英网络的附属公司杭州恺兴网络科技有限公司于2025年2月26日签订合作备忘录。根据该备忘录，拟共同投资极逸公司（暂定名），共同推进AI大模型技术在游戏领域的发展。
远达未来将以货币出资的方式投资1000万元，持有标的公司10%的股权。远达未来投资入股后，有权按照持股比例分配投资标的公司净利润和参与投资标的公司股东会议事项的表决。投资金额未超过5%，因此不构成本公司的须予公布交易。
此次合作将促进本集团的游戏发行及运营效率，通过AI技术的多元化应用，降低运营成本，并提升品牌价值。董事会认为，该合作备忘录的条款公平合理，符合公司及股东的整体利益。
