周大福创建调整可换股债券换股价及派息方案
2月26日，周大福创建（00659）发布公告，调整于2025年到期的7.8亿港元4%可换股债券的换股价。根据公告，董事会已决定宣派截至2024年12月31日止六个月的中期普通股息每股股份0.3港元及特别股息每股股份0.3港元。此次股息派发将于2025年3月21日的记录日期向名列本公司股东名册的股东支付。
因此，换股价将由每股股份8.043港元调整为每股股份7.39港元，调整将于2025年3月22日生效。此次调整将导致公司在按调整后换股价转换未偿还债券后，发行的新股份最高数量为1.06亿股，较原先的9698万股增加857万股，约占公司现有已发行股份数目的2.64%。此外，公司有权根据一般授权发行最多8亿股股份，以满足因悉数转换债券而需发行的新股份。
