智通财经APP讯，天臣控股(01201)发布公告，由于(i)国家新能源政策的变化;及(ii)双方就合营公司财务风险控制产生的分歧，公司与航天锂电科技(香港)有限公司(航天香港)已于2025年3月1日签订终止契据，双方同意终止合营协议，并自终止契据日期起免除各自在该协议项下的义务，前提为公司应解除航天香港根据2024年9月20日订立的认购协议向公司作出的禁售承诺。
由于合营公司尚未开始营运，预计终止合营协议不会对集团的财务业绩产生重大不利影响。
根据终止契据的条款，公司已同意解除航天香港根据日期为2024年9月20日的认购协议向公司作出的禁售承诺。公司当时引进航天香港为新股东时，公司认为认购事项反映了航天香港对公司长期永续发展的信心，及公司拟与航天香港探索潜在合作及投资机会，以提升公司的竞争力及公司对其股东的价值。
鉴于合作并未落实，董事会认为认购协议所载的禁售已不再使公司有所受益，因此同意公司解除航天香港的上述禁售承诺。
随着合作不顺利并终止上述合营协议后，下述自2025年3月1日起生效：(i)闫海亭辞任执行董事及董事会联席主席;及(ii)徐倩辞任执行董事。
