远东发展(00035.HK) 公布，与周大福企业及The Star Entertainment Group Limited，就位于澳洲昆士兰布里斯本QWB项目及黄金海岸项目之联合发展项目，以及目前由The Star全资拥有或与公司合伙拥有，位于澳洲昆士兰布里斯本之若干酒店及停车场资产订立协议纲领。
公司及周大福企业(合营伙伴)与The Star进行资产置换。The Star将透过回购或资本削减或The Star与合营伙伴协定之其他方式，出售其在QWB项目之50%合订股权，使合营伙伴于完成时将共同拥有QWB项目之100%权益。
另外，合营伙伴将自The Star收购策略资产，即The Star于TreasuryHotel之100%权益、Treasury Car Park之100%权益及Festival Car Park之50%权益，全部邻近澳洲昆士兰布里斯本之QWB项目，对QWB项目具有策略重要性；The Star将收购公司及周大福企业于黄金海岸项目合共66.67%合订股权；及合营伙伴将分期向The Star支付现金5,300万澳元，首期款项3,500万澳元。合营伙伴支付的第三期余下款项金额为800万澳元，惟受若干条件规限及待最终协议所列之建议交易架构落实后，方可作实。(sl/a)(港股报价延迟最少十五分钟。)
