智通财经APP获悉，Allegro MicroSystems(ALGM.US)周四证实收到安美森半导体(ON.US)的主动收购提议，并表示该提议“不足够”。Allegro 表示，“除非确定有必要这样做”，否则不打算进一步评论此事。安美森半导体周三披露了一份提交给Allegro董事会的收购提案的细节，该提案以每股35.10美元的价格现金收购该公司，隐含企业价值为69亿美元。消息公布后，Allegro盘前截至发稿上涨9.71%，报29.38美元。
该公司表示，在过去6个月里，它曾多次尝试就一项潜在交易展开建设性讨论。最新的报价于2月12日提交给Allegro，比2024年9月2日提交的每股34.50美元的初始报价有所增加。
安美森半导体总裁兼首席执行官Hassane El-Khoury表示：“我们相信，安美森半导体和Allegro的合并将使两个高度互补的业务结合在一起，使我们各自的客户受益，并为Allegro的股东带来即时价值。”
