智通财经APP讯，金朝阳集团(00878)及要约人EARNING EASE LIMITED联合公布，于2025年3月5日，要约人要求董事会向计划股东提出该建议，根据公司法第99条以协议安排方式将公司私有化。公司已向联交所作出申请，就股份于2025年3月10日上午九时正开始于联交所恢复买卖。
该计划将规定计划股份予以注销，以换取就每股计划股份向计划股东以现金支付的总价8.5港元(即注销价7.5港元及特别股息1.0港元的总额)。 注销价及总价格分别较2025年2月14日联交所所报收市价每股5.5港元溢价约36.36%及54.55%。该建议项下应付计划股东的最高现金代价总额将约为约6.03亿港元。
据悉，要约人由Ko Bee全资拥有。Ko Bee 为一家于英属处女群岛注册成立的有限公司，由一个家族全权信托全资拥有，其受益人包括傅金珠女士及其家族成员(包括但不限于陈慧苓小姐、陈庆达先生及陈慧如小姐)。傅金珠女士家族信托的受托人为Century Pine (PTC) Limited。傅金珠女士为该集团的创办人兼执行董事及该集团若干附属公司的董事。
