格隆汇3月8日丨泛远国际(02516.HK)发布公告，2025年3月7日，公司(作为潜在买方)、顺昌快达控股有限公司(作为潜在卖方)及快顺投资有限公司(作为目标公司)订立不具法律约束力的谅解备忘录，内容有关公司建议收购目标公司(目前由潜在卖方100%持有)不少于60%股权。
根据谅解备忘录，订金150万港元应于签订谅解备忘录后15个历日内向潜在卖方支付。倘建议收购事项完成，订金将构成公司于目标公司投资金额的一部分。目标公司为一间于英属处女群岛注册成立的有限公司，于中国香港提供物流服务，包括(i)于中国香港运输及配送不同货品及商品，包括快速消费品及设计师特色商品；及(ii)于中国香港提供辅助临时劳工服务，包括客户配送中心的货架及夹板搬运服务。
公告表示，此建议收购事项将提升集团于物流领域的综合服务能力。目标公司为一间以中国香港为基地的物流公司，透过整合目标公司在中国香港本地物流配送及辅助临时劳工服务方面的成熟资源及经验，集团将能深化大湾区与中国内地城市的业务联系，提升区域市场渗透力及客户服务覆盖密度。此外，目标公司与集团的业务协同将促进营运效率及成本优化，进一步巩固集团在跨境物流领域的竞争优势。
