金吾财讯 | 金朝阳集团(00878)今日股价表现强势，截至目前，股价上涨38.18%，报7.6港元。今早开盘时，该股便大幅高开39.8%。集团早前公布了私有化及撤销上市地位的计划，建议由创办人兼执行董事傅金珠家族信托所持有的EARNING EASE LIMITED作为要约人，以协议安排方式将集团私有化。若此计划顺利生效，计划股东将可收取每股现金总价8.5元，具体包括由要约人就每股支付的注销价7.5元，以及由集团就每股以现金派发的特别股息1元。对比停牌时所报收盘价每股5.5元，注销价及总价格分别溢价约36.4%及54.5%。集团方面指出，现金总价比去年6月底每股资产净值60.76港元折让86.01%，且总价包括注销价及特别股息将不会上调，要约人及集团不会就此保留权利。从股权结构来看，要约人一致行动人士拥有约74.97%股权。此次建议应付计划股东最高现金代价总额将约6.03亿港元，其中支付注销价将由傅金珠家族信托的外部债务及/或内部资源拨付，而支付特别股息将由集团内部现金资源拨付。
