智通财经APP讯，晨鸣纸业(01812)发布公告，有关公司拟向广源地产出售御景酒店全部股权的90.05%及公司拥有的由御景酒店欠公司的账面值共计人民币1.935亿元的债权。
截至2024年12月31日，广源地产尚有代价人民币1.64亿元未完成支付，且已向公司回函无力支付前述款项。为维护公司合法权益，根据《中华人民共和国民法典》、《中华人民共和国公司法》等有关法律法规的规定，经各方协商一致，公司、御景酒店与广源地产于2025年3月14日签署了《<股权及债权转让协议>之解除协议》，以终止股权及债权转让协议。
由于已订立解除协议，出售事项将不会进行。解除协议的签署属于资产负债表日后调整事项，公司遵循会计处理的实质重于形式原则，经与年审会计师事务所充分沟通，将御景酒店重新纳入2024年度合并财务报表范围。该事项的会计处理符合《企业会计准则第29号—资产负债表日后事项》的相关规定，未对公司2024年度财务报表中的财务状况及经营业绩产生负面影响。公司认为解除协议并不会对集团现有业务、营运及财务状况造成任何重大不利影响，亦不会影响公司及股东的整体利益。
