中国中车股份有限公司关于执行董事、总裁辞职的公告

2025年3月20日，中国中车股份有限公司（以下简称“公司”）董事会收到执行董事、总裁马云双先生的辞职报告。马云双先生因工作调整原因辞去公司执行董事、总裁、董事会战略与可持续发展委员会委员、提名委员会委员职务。同时，辞去《香港联合交易所有限公司证券上市规则》项下的公司授权代表职务。辞职后，马云双先生不在公司及控股子公司担任任何职务。

截至本公告披露日，马云双先生不存在应当履行而未履行的承诺事项。根据《中华人民共和国公司法》《中国中车股份有限公司章程》的规定，马云双先生的辞职自辞职报告送达董事会时生效。马云双先生确认与公司董事会之间无任何意见分歧，亦无任何与辞职有关的事项须提请公司股东及债权人注意。

公司董事会谨此就马云双先生在任职期间对公司发展做出的重要贡献给予高度评价并深表谢意。特此公告。
