智通财经APP讯，高鹏矿业(02212)发布公告，于本公告日期，配售协议所载的先决条件未获达成，故本公司与配售代理订立的配售协议及补充协议经已失效，而配售事项将不会继续进行。订约方有关配售事项的所有权利、义务及责任将告停止，而订约方概不得就配售事项向另一方提出任何索偿，惟先前违反配售协议项下任何责任以及根据配售协议的条款已产生的所有合理成本、收费及开支除外。
董事会认为，本公司与配售代理订立的配售协议及补充协议失效将不会对本公司目前的营运及财务状况构成任何重大不利影响。
