金吾财讯 | 招商局港口(00144)股价走强，截至发稿，涨8.09%，报13.9港元，成交额3.05亿港元。消息面上，日前，招商局港口公布，于2025年2月28日，公司及买方（公司全资附属公司）与卖方及Vast订立购股协议，据此，买方已同意有条件向卖方购买销售股份，占Vast股本总额的70%。于交割后，公司将透过买方持有Vast股本总额的70%，而Vast股本总额余下的30%将由Prumo持有。Vast将成为公司的间接附属公司，而其财务业绩将并入集团的财务业绩。买方于交割时应付的购买价应为等于4.48亿美元的巴西雷亚尔金额，并可根据于交割日期时 Vast的现金结余、尚未偿还债务、惯常债务类负债及营运资金的实际金额予以调整。经调整后的最终购买价于任何情况下均不得超过7.14亿美元。
