周大福创建拟收购目标公司43.93%股份 总交易价1.32亿美元
3月19日，周大福创建（00659）发布公告，宣布其间接全资附属公司于2025年3月18日与智能企业有限公司及郁先生签署买卖协议，涉及收购目标公司若干股份，同时与CountryMagic、Sinowise及周先生（作为卖方）签署另一份买卖协议。总交易代价为1.32亿美元（约10.25亿港元），将通过集团内部资源支付。
根据公告，周大福控股通过其附属公司间接持有目标公司约10.85%的权益，因此构成主要股东。该收购事项将分为两个阶段进行，第一阶段将收购7.14亿股股份，占目标公司已发行股本的13.05%；第二阶段将收购16.89亿股股份，占目标公司已发行股本的30.88%。
完成后，买方将直接及间接持有目标公司24.03亿股股份，占其已发行股本的约43.93%。
