智通财经APP讯，维港环保科技(01845)发布公告，于2025年3月21日(交易时段后)，德汇环境(公司的间接全资附属公司)与常州荣之祥订立合资协议，双方同意在中国成立合资公司，并订立合资公司所有权、资金及管理等条款。
根据合资协议，合资公司的注册资本应为人民币2000万元，其中(1)德汇环境承诺以现金出资人民币1400万元;及(2)常州荣之祥承诺通过向合资公司注入无形资产的方式出资人民币600万元。于完成后，合资公司的股本权益将分别由德汇环境及常州荣之祥拥有70%及30%。于完成后，合资公司的财务资料将综合并入公司的财务报表，并且合资公司将成为公司的间接非全资附属公司。
合资公司经营范围 : 环保设备制造、环保材料销售、再生环保产品及环保设备销售;新型环保产品及技术的研发、推广及应用(以中国相关机关批准且合资公司营业执照所载经营范围为准)。
公告称，集团一直在不断改进其有害废弃物焚烧处置及固体废弃物处理技术，并凭借其资本实力进入固体废弃物处理领域，打造综合环保产业集团。董事会认为，订立合资协议有利于各方有效利用资源，并与集团现有业务形成互补。透过集团的资源回收技术(现时应用于废弃塑料回收业务)与常州荣之祥在资源回收技术方面(包括专业化环保设备制造能力)的经验及专业知识相结合，董事会认为成立合资公司将透过协同效应提升集团现有业务，达致互惠双赢，从而提升集团的竞争力，而最重要的是，可为其股东、雇员及其他持份者创造价值。
