Get Nice Holdings (HKG:0064) (GNH) secured court approval in the Cayman Islands to acquire the outstanding shares of Nice Financial Group (HKG:1469) (GNF), according to a filing with the Hong Kong bourse on Friday.
The reorganization involves a share exchange offer where GNH will acquire all GNF shares. This will be accompanied by a scheme dividend distribution to GNF shareholders, with payments set for April 3.
Following the reorganization, GNF shares will be delisted from the Hong Kong Stock Exchange at the end of trading day on March 27.
The first day of dealings of the new GNH Shares issued to the scheme shareholders is expected to be on April 7.
Get Nice's shares were down 4% in recent trading.
