智通财经APP讯，子不语(02420)发布公告，公司非执行董事华慧因希望投放更多时间于个人事务而辞任非执行董事，该辞任自2025年3月27日起生效。
罗妍获董事会委任为独立非执行董事，该委任自2025年3月27日起生效。
自2025年3月27日起，董事会提名委员会、董事会审核委员会及董事会薪酬委员会的组成变更如下：刘健成不再担任提名委员会主席，继续被任命为提名委员会成员;及罗妍被任命为提名委员会主席、审核委员会成员及薪酬委员会成员。
为进一步完善公司治理结构，提升公司在环境、社会及管治方面的管理水平，公司自2025年3月27日起成立环境、社会及管治委员会，环境、社会及管治委员会成员分别为刘健成、俞可飞、沈田丰及罗妍，且刘健成获委任为环境、社会及管治委员会主席。
