智通财经APP讯，MAYER HOLDINGS(01116)发布公告，本公司于2023年3月29日接获引致该等指称的投诉(投诉信)。独立调查委员会乃为回应该等指称及厘定(其中包括)该等指称是否真确及具合理依据而成立。
于2023年11月29日，董事会注意到出售事项在未取得董事会任何批准及授权的情况下不当地完成。
于本公告日期，独立调查员已向独立调查委员会发出调查报告。
董事会(包括独立调查委员会)已审阅调查报告的内容，而独立调查员已就调查进行适当程序。若干在各该等事项中有重大参与的相关人士在整个调查过程中对独立调查员表现出不合作态度，在彼等的阻拦下，导致出现了本公告“调查的主要限制”部分所述的限制，董事会认为调查报告已基于所获提供的最佳可用资料充分处理各该等事项。
由于本集团附属公司的核心业务运作仍在进行中，并未因该等事项而中断，董事会认为本集团的营运维持正常，且该等事项对本集团的营运及财务状况并无重大影响。
此外，公司股份继续停牌。
