智通财经APP讯，高鑫零售(06808)及要约人PARAGON SHINE LIMITED 联合公布，于2025年3月27日(星期四)下午四时正(即接纳该等要约的最后日期及时间)，要约人已接获：涉及股份要约项下合共4385.82万股要约股份的17份有效接纳(选择全额预付结算替代方案)(统称为“接纳股份”)，相当于本联合公告日期本公司全部已发行股本约0.46%; 股份要约项下零份有效接纳(选择部分递延结算替代方案);及购股权要约项下零份有效接纳。
根据股份要约项下按全额预付替代方案价格每股要约股份1.38港元所提出涉及 4385.82万股要约股份的17份有效接纳以及基于购股权要约的零份有效接纳，该等要约的总代价为6052.43万港元。
由于要约人及要约人指定实体并无于强制收购有效期内收购90%或以上的要约股份或90%或以上的独立股份，故并无产生实施强制收购余下要约股份的权利。因此，本公司将不会因该等要约而向联交所申请撤回股份上市地位。
紧随本联合公告刊发后，黄明端先生已辞任本公司非执行董事以及提名委员会及薪酬委员会成员;及自本联合公告日期起，梅梦雪女士已获委任为本公司非执行董事及审核委员会成员。
