智通财经APP讯，潍柴动力(02338)发布公告，为完善本公司治理结构，适应本公司战略发展需求，推进本公司环境、社会及管治(ESG)工作，提升本公司ESG管理水平，环境、社会及管治(ESG)委员会(环境、社会及管治(ESG)委员会)已告成立，自2025年3月27日起生效。
环境、社会及管治(ESG)委员会由三名执行董事(即马常海先生、王德成先生、黄维彪先生)及两名独立非执行董事(即蒋彦女士、迟德强先生)组成。马常海先生已获委任为环境、社会及管治(ESG)委员会主席。环境、社会及管治(ESG)委员会成员的委任年期将直至本公司截至2026年12月31日止年度股东周年大会结束时，即本届董事会任期结束时为止。
为保障本公司提名委员会(提名委员会)运作的独立性及性别多元化，独立非执行董事蒋彦女士已获委任为提名委员会成员以替代独立非执行董事徐兵先生，自2025年3月27日起生效。蒋彦女士的委任年期将直至本公司截至2026年12月31日止年度股东周年大会结束时，即本届董事会任期结束时为止。于上述提名委员会组成变更后，徐兵先生将仍然担任本公司独立非执行董事及审核委员会成员。
