智通财经APP讯，国鸿氢能(09663)发布公告，兹提述中国证券监督管理委员会(中国证监会)于2019年11月14日发布并于 2023年8月10日进一步修订的《H股公司境内未上市股份申请“全流通”业务指引》(该指引)，有关香港联合交易所有限公司(联交所)上市H股公司申请境内未上市股份到联交所流通所涉程序的指引。
根据该指引，本公司董事会(董事会)审议及批准就转换本公司12名股东(参与股东)持有的本公司4130.4万股内资股(内资股)为本公司H股(H股)(相当于本公司于本公告日期已发行股份总数的7.97%)向中国证监会提交申请。在取得所有相关批准(包括中国证监会及联交所批准)及符合所有适用法律、法规及规章后，该等内资股将被转为本公司的H股，而本公司将申请该等H股于联交所主板上市及买卖(转换及上市)。根据本公司的组织章程细则，转换及上市毋须再召开股东大会作批准。
截至本公告日期，本公司就转换及上市的实施计划详情尚未落实以及最终转换的内资股数量以及转换及上市的完成，须履行中国证监会、联交所及其他相关境内外监管机构规定的其他相关程序。
