智通财经APP讯，越南制造加工出口(00422)发布公告，有关公司的直接全资附属公司 VMEP 与大王守德房屋开发股份公司(大王守德)(现称 Daewon Cantavil Joint Stock Company)订立的《合资协议》。
如先前公告所述，合资双方计划根据《合资协议》成立合资公司，其目的在于在位于越南的该土地进行并实施该项目，当中涉及投资、兴建和开发综合社区。
截至本公告日期，合资双方尚未完成申请该项目的投资登记证及成立合资公司的相关程序。由于越南法律及法规的变更，合资企业已不再符合申请该项目的资格，且无法再利用合资公司来推行该项目。因此，VMEP 与大王守德双方同意终止《合资协议》，并于2025年3月28日订立终止协议。终止协议后，公司无意另行成立新的合资公司来推动该项目，而是正在探讨仅通过 VMEP 使用双方已准备的 1/500 开发计划独自于该土地进行并实施该项目的可行性。
董事会认为，终止协议不会对集团的财务表现及业务运营造成重大不利影响，并符合公司及全体股东的整体利益。
