智通财经APP讯，泉峰控股(02285)公布，于2025年3月26日，该公司拟向泉峰精密技术控股有限公司出售泉峰(中国)投资有限公司的全部股权，代价为人民币5.7亿元或等值港元。预期该集团将取得出售事项收益人民币7900万元。
就出售事项而言及待特别股息条件达成后，董事会建议向于记录日期名列公司股东名册的股东派付特别股息每股1.1905港元。
截至本公告日期，目标公司的主要业务为持有64,671,068股泉峰汽车精密技术股份，占泉峰汽车精密技术已发行股份总数的23.75%。泉峰汽车精密技术主要从事汽车动力系统及相关零部件的生产、销售及研发。泉峰汽车精密技术于2012年3月19日在中国成立为有限公司，其股份于上海证券交易所上市(股份代码：603982.SH)上市。除泉峰汽车精密技术股份外，目标公司并无其他重大资产。
董事会认为，于泉峰汽车精密技术的投资为非核心资产，与集团的现有业务策略及对主营业务的投入无关。截至2023年及2024年12月31日止年度，该集团于泉峰汽车精密技术的股权持续造成应占一间联营公司亏损，分别为1830万美元及1730万美元。董事认为出售事项对公司及股东有利。
