智通财经APP讯，纳思达(002180.SZ)披露重大资产出售预案，公司拟通过其控制的 Ninestar Group Company Limited(简称“开曼子公司 II”)以现金方式将所持的 Lexmark International II, LLC(“标的公司”)的 100%股权出售给 Xerox Corporation(简称“施乐公司”或“买方”)。
本次交易将实现上市公司对所控制的利盟国际的整体出售，上市公司通过其控制的卖方以现金方式向买方出售卖方所持标的公司100%股权。卖方与买方、标的公司已签署《股权购买协议》，约定买卖双方将于交割条件全部满足或被适当豁免后进行标的公司100%股权的交割，在交割时，卖方需要按照约定方式预估、计算并向买方收取预估交易对价，公司根据标的公司目前最新经营情况，所测算的标的公司100%股权的预估交易对价范围在0.75亿美元—1.5亿美元。
公告称，通过本次交易，能够提升上市公司资源的集中度，增强战略聚焦能力，进而更加聚焦于“奔图”、“格之格”等自主品牌的打印机全产业链业务的发展壮大，同时继续保持对集成电路业务发展的支持力度。
