新奥能源(02688.HK) 公布重组交易，新奥能源实际上与母公司新奥股份(600803.SH) 合并，成为一间更大的天然气和能源企业。交易后每股将获2.94股扩大后的新奥股份H股，外加24.5元现金，相当于比最后收盘价高出35%。
汇丰环球研究指，与过去10年类似合并交易相比，是次报价看似合理，短期内应对该股的市场情绪产生积极影响，但存在潜在障碍，包括需要超过75%少数股东批准，且反对票不得超过10%。假设获得监管批准，该行认为公司必须说服市场，合并后的实体能为两间上市公司股东带来足够的价值增长，以促使他们投票支持交易，因AH股双重上市公司中，H股通常相对于A股存在折让。
