智通财经APP讯，大昌微线集团(00567)公布，于2025年3月28日，投资者(为公司的间接全资附属公司广州嘉升电子贸易有限公司)与目标股东及目标公司北京伟航奕宁健康管理集团有限公司订立注资协议，投资者有条件同意按认购价人民币2850万元(相当于约港币3049.5万元)认购目标公司的注册资本。
完成后，投资者将持有目标公司经扩大注册资本约15.12%。因此，目标公司将作为公司的联营公司入账，而目标公司的财务业绩不会并入集团的综合财务报表。
据悉，目标集团主要从事提供健康管理及健康咨询服务(不包括需获批准经营的医疗诊断及治疗活动)。于本公告日期及紧接完成前，目标公司由目标股东 A及目标股东B分别拥有70%及 30%。完成后，目标股东A、目标股东B及投资者将分别持有目标公司经扩大注册资本约59.42%、25.46%及15.12%。
董事会认为，注资将使集团的业务范围更加多元化，并增强集团的竞争力。由于认购目标公司的股本权益可使集团的收入来源多元化，因此，注资亦符合集团提升财务表现的策略。
