智通财经APP讯，HSSP INTL(03626)及要约人Wade Investment SPC Ltd联合公布，于2025年3月28日，要约人、卖方及卖方担保人订立买卖协议，要约人已有条件同意收购而卖方已有条件同意出售待售股份，即 1.38亿股股份(相当于全部已发行股份的75%)，总代价为1.95亿港元(相当于每股待售股份约1.413港元)。
根据收购守则规则26.1，于交割后，要约人须就所有已发行股份(要约人及其一致行动人士已拥有及/或同意收购的股份除外)提出强制性无条件现金要约。 每股要约股份现金1.414港元，较股份于2025年3月26日在联交所所报收市价每股1.050港元溢价约34.67%。
要约人拟继续经营本集团的现有业务。于本联合公告日期，要约人并无计划向本集团注入任何资产或业务或促使本集团收购或出售任何资产。
本公司已向联交所申请股份自2025年3月31日上午九时正起恢复买卖。
