融科控股(02323)发布公告，于2025年3月28日，公司与上海高芝实业发展有限公司(“上海高芝”)就成立一家合营企业(“建议成立合营企业”)签订谅解备忘录(“谅解备忘录”)。根据谅解备忘录，双方拟重组上海高芝旗下的Mango Agriculture Company Limited (“合营企业公司”)，使合营企业公司成为公司非全资拥有51%的子公司。合营企业公司将从事科技农业、无人机农业植保服务的产业链上下游领域建设，旨在打造农化原料生产、研发、制造、成品销售及无人机喷洒服务的完全产业链，培育全球农业科技与数位农业的发展集团。

谅解备忘录各订约方应评估建议成立合营企业的可行性，直至各订约方签署最终合作协议为止。

董事会认为，透过签订谅解备忘录，双方可利用彼此的竞争优势、资源及专业知识，建立互惠互利的合营企业。倘建议成立合营企业得以落实，将有助本集团拓展科技农业领域，实现多元化收入来源并业务可持续增长，提升全球市场竞争力，符合公司及股东之整体利益。

据悉，目标公司主要从事除草剂、杀虫剂、杀菌剂及生长调节剂等植保产品的农药进出口业务，产品覆盖非洲、中东及东南亚等地区。目标公司的团队由专业人士组成，善于将科技农业与技术专长相结合，致力以最高标准执行每一个专案。
