格隆汇4月2日丨基石药业-B(02616.HK)发布公告，2025年4月2日(交易时段前)，公司与配售代理(即摩根士丹利)订立配售协议，据此，公司已有条件同意透过配售代理，以每股配售股份2.933港元的价格，向不少于六名承配人配售合共8000万股配售股份。

配售价每股配售股份2.933港元，较2025年4月1日(即紧接配售协议日期前最后一个完整交易日)联交所呈报的收市价每股股份3.45港元折让约14.99%。最多8000万股配售股份将占本公告日期公司现有已发行股本约6.23%及紧随配售后经扩大已发行股本约5.86%(假设自本公告日期起直至配售完成日期止公司的已发行股本并无变动)。配售股份将根据一般授权配发及发行，且无需取得任何股东批准。

假设所有8000万股配售股份获悉数认购，配售完成后，配售所得款项总额将为2.3464亿港元，配售所得款项净额估计为2.3229亿港元。配售所得款项净额预期将用于以下用途：(i)90%用于与集团“管线2.0”中的资产，尤其是CS5001(一款处于临床阶段的ROR1 ADC(潜在同类最佳ROR1 ADC))，以及CS2009(一款靶向PD-1、VEGFA及CTLA-4的三特异性分子，潜在同类首创╱同类最优的下一代肿瘤免疫骨架)有关的进一步研发；及(ii)余下所得款项净额于适当时用于其他一般公司用途。
