智通财经APP讯，弘毅文化集团(00419)公布，就獴哥健康业务而言，獴哥集团已剥离其疫苗和体检业务，终止其私域电商业务，并专注于运营健康消费业务， 而VIE 合约安排项下 的VIE 结构将不再属必要。
公司已于2025年4月1日与ESOP及自然人SPV订立合资平台(即Meerkat Health Holdings Limited)股权转让文件，旨在收购彼等合共持有合资平台的40%股权，令合资平台及其附属公司成为该集团的全资附属公司。同日，WFOE与中国股权拥有人分别订立OPCO股权转让协议A及OPCO股权转让协议B，供彼等向WFOE转让各自于OPCO持有的60%及40%股权;WFOE及OPCO亦就终止VIE合约安排与中国股权拥有人订立终止协议。订立该等交易的目的乃为解散根据合资框架协议及 VIE合约安排就獴哥健康业务搭建的VIE 结构。
于股权转让协议完成后，獴哥集团成员公司将成为该公司的全资附属公司，且不再存有任何合约安排，而獴哥集团的财务业绩将继续并入该集团财务报表。
根据股权转让协议，该集团能够按名义对价取得獴哥集团少数股东所持部分股权的所有权，令公司全资拥有獴哥集团(连同其营运业务)。如此精简獴哥集团的企业架构将令集团自主且全面掌控獴哥集团及獴哥健康业务的未来企业与业务发展，并悉数享有其所产生的经济效益。
