天工国际(00826)：天工新材收购天工工具股权持股增至约90.06%

智通财经APP讯，天工国际(00826)发布公告，经各方协商，于2025年4月1日，(1)华资盛通、天工新材、天工香港、本公司、天工精密及天工工具订立华资盛通股权转让协议，华资盛通(作为卖方)将以人民币3508.6万元的代价将其持有的0.35%天工工具股权转让给天工新材(作为买方);(2)华资汇志、天工新材、天工香港、本公司、天工精密及天工工具订立华资汇志股权转让协议，华资汇志(作为卖方)将以人民币3508.6万元的代价将其持有的0.35%天工工具股权转让给天工新材(作为买方);及(3)乐通华资、天工新材、天工香港、本公司、天工精密及天工工具订立乐通华资股权转让协议，乐通华资(作为卖方)将以人民币3508.27万元的代价将其持有的0.35%天工工具股权转让给天工新材(作为买方)。

于本次股权转让事项完成后，本公司透过天工新材及天工香港而拥有的股权将由89.00%上升至约90.06%，天工工具将继续为本公司的间接非全资附属公司，其业绩将继续综合计入本集团的业绩。

目前融资成本下调，而且为了简化天工工具的股权结构，并保留有长期意向的投资方，本公司同意相关股份转让的请求，因此本集团与打算出售天工工具股权的投资方(就本次股权转让事项而言，即华资盛通、华资汇志及乐通华资)订立股权转让协议以转让有关投资方所持有的天工工具股权。
