　　新丰泰集团（01771）发布公告，公司间接全资附属公司陕西新丰泰汽车技术开发有限责任公司（附属公司）拟于不晚于2025年4月30日与中国银行股份有限公司陕西省分行（贷款人）订立授信业务总协议。根据授信业务总协议，附属公司及贷款人将进一步就单项授信业务订立独立授信协议（与授信业务总协议统称授信协议），且贷款人同意提供本金最多为人民币3亿元的贷款融资，期限由授信业务总协议生效之日起计至2025年12月29日止。

　　鉴于授信业务总协议及贷款人据此提供贷款融资，公司拟于不晚于2025年4月30日与贷款人订立最高额保证合同，公司同意就附属公司妥善履行其于授信协议下的义务向贷款人提供企业担保，其中包括偿还本金最多人民币3亿元的贷款及所有应计利息、违约金、损害赔偿金、兑现贷款人权利的成本、因附属公司违约而对贷款人造成的损失以及附属公司根据授信协议应支付的所有其他费用的义务。

　　董事会认为订立授信业务总协议及担保合同对集团有利，因为此举可为附属公司的业务营运提供额外融资资源。董事会认为，授信业务总协议及担保合同的条款乃订约方之间经公平磋商厘定，属公平合理，且符合公司及其股东的整体利益。
