江西银行计划收购进贤瑞丰村镇银行并改建为支行 议案提至股东大会审议
4月7日，江西银行（01916）发布公告，计划收购进贤瑞丰村镇银行并改建为支行，董事会已审议通过有关收购设立的议案，现提交股东大会审议。
根据董事会决议，江西银行收购进贤瑞丰村镇银行工作正有序进行，持有进贤瑞丰村镇银行93%股权后，将依法将其改建为支行，收购完成后，江西银行将承继进贤瑞丰村镇银行的全部资产、债权债务、业务、人员、合同及其他一切合法权利与义务，并注销其独立法人资格。
收购进贤瑞丰村镇银行股权前，江西银行持股占比已达69.5%。
此外，江西银行将提请股东大会同意未来两年内新增发行总额不超过等值140亿元的资本工具，包括无固定期限资本债券，二级资本债及其他合格资本工具。
