智通财经APP讯，金马能源(06885)公布，公司控股股东金马焦化已于2025年4月3日与北京潍港新能源有限公司订立一项有条件买卖协议，内容有关金马焦化出售其所持金马能源(香港)有限公司(金马香港)的全部已发行股份。
据本公司所知，饶朝晖先生(公司主席兼执行董事)间接拥有金马焦化96.3%权益，而金马焦化全资持有金马香港，金马香港则持有公司1.62亿股股份，约占公司已发行股本约30.26%。
根据金马焦化表明，上述目标股份买卖的完成须受限于以下条件的达成：(i)金马香港透过中央结算系统(CCASS)于二手市场出售533.5万股公司股份，使其持有公司已发行股份比例降至29.26%;及(ii)促使饶朝晖先生透过中央结算系统 (CCASS)于二手市场出售其所持有的268.1万股公司股份，使其自此不再持有任何公司股份权益。
此外，公司已向香港联合交易所有限公司申请公司股份自2025年4月8日(星期二)上午9时正起恢复买卖。
